By accessing and using the services provided by NewBrand Technologies nbPro LMS ("we," "us," "our," or the "Company") at our website and associated platforms (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you are prohibited from using the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Description of Service

nbPro LMS provides a comprehensive Learning Management System (LMS) platform designed for educational institutions, including features for:

• Course management and content delivery
• Student enrollment and progress tracking
• Assessment and grading tools
• Communication and collaboration features
• Analytics and reporting capabilities
• Administrative management tools

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to:

• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately if you discover or suspect any security breaches

Educational institutions are responsible for managing user accounts for their students and staff.

• Harass, abuse, or harm another person

We reserve the right to suspend or terminate accounts for violations of this policy.

5. Payment Terms

For paid subscription tiers:

• Fees are specified on our pricing page and may be updated with prior notice
• Payment is due in advance for the subscription period
• Fees are non-refundable except as required by law or specified in our refund policy
• Automatic renewal may apply unless cancelled before the renewal date
• We may suspend access for non-payment of fees

Educational institutions are responsible for any taxes associated with their use of the Service.

6. Intellectual Property Rights

Our Content

The Service and its original content, features, functionality and nbPro LMS are owned by NewBrand Technologies and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain ownership of any educational content, course materials, and data you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display such content solely for the purpose of providing the Service to you.

Student Data

Educational institutions maintain ownership of student data. We process such data only as a service provider and in accordance with our Privacy Policy and Data Processing Agreement.

7. Disclaimer and Limitation of Liability

Disclaimer: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, NewBrand Technologies OR nbPro LMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

Cap on Liability: OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of The Gambia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in the Gambia.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
